Terms and Conditions of Sale

The following General Terms and Conditions of Sale govern the offer and sale of products on our website www.theoutnet.com (the “Website”). Depending on the location of the customer, the products purchased on the Website are sold by subsidiaries or affiliates of The Outnet Ventures LLC (599 Broadway, 3rd Floor, 10012 New York – NY) collectively referred as the “Vendor”:

- Orders purchased from any location other than the United Kingdom and Europe are sold by The Outnet Operations (US) LLC (599 Broadway, 3rd Floor, 10012 New York – NY)

- Orders purchased from the United Kingdom are sold by The Outnet Operations (UK) Ltd (32 St. James's Street, SW1A 1HD London – UK)

- Orders purchased from Europe are sold by The Outnet Operations (IT) S.R.L. (Via Morozzo della Rocca 6, 20123 Milano – IT)

1. Our Business Policy

1.1 The Vendor offers products for sale on the Website, and its e-commerce business services are available exclusively to its end users (its "customers"). We reserve the right to only accept orders from those over 18 years of age, for personal use and not for resale.

1.2 “Customer" means any individual who is acting for purposes outside of his or her trade, business or profession. If you are not a "customer", please do not buy any products on theoutnet.com.

1.3 The Vendor reserves the right not to process orders for any or no reason, including without limitation orders that do not comply with the Vendor’s business policies, such as orders for which there are reports of or suspicion of fraudulent or illegal activity. In such cases, the order will be considered null and void, and the Vendor will inform the User in writing that the order will not be fulfilled.

1.4 These General Terms and Conditions of Sale exclusively regulate the offer, transmission and acceptance of orders relating to products on the Website between the customer and the Vendor.

1.5 The General Terms and Conditions of Sale do not apply to the provision of services or the sale of products by third parties that are present on the Website via links, banners or other hypertext connections. Before placing orders and purchasing products and services from third parties, we recommend that you verify their terms and conditions. Under no circumstances shall the Vendor be deemed liable for the supply of third-party services or for the execution of e-commerce transactions between users of the Website and third parties.

2. How to place an order and our contract with you

2.1 To place an order for one or more products on theoutnet.com, you must add items to your shopping bag, enter your shipping and billing address, select your delivery option, and choose your payment method to complete your order.

2.2 Before proceeding to purchase, we ask that you carefully read the General Terms and Conditions of Sale and the Return Policy. You may wish to print a copy using the print option and keep it safe for your own personal use.

Before completing your purchase, on the order confirmation page, we will provide you with:

- a link to these General Terms and Conditions of Sale and the Return Policy (including any costs associated with the return of products)

- a summary of the main characteristics of each product ordered and its unit price (including all applicable fees and taxes)

- the total amount to be paid and the applicable terms of payment

- available payment methods

- shipping methods, place of delivery, and shipping costs (including any additional fees you may be charged if you choose shipping options different from standard shipping)

- any additional charges payable to a third party which cannot be determined by the Vendor (such as customs duties)

- the currency in which amounts are expressed

- the estimated delivery date of the products

You will also be reminded of the legal guarantee of product conformity, and we will provide you with information about contacting our after-sales service.

2.3 When you proceed to purchase, you will be required to pay the price indicated therein. Before order completion, you will be asked to identify and correct any possible input errors.

2.4 The order will be entered into our database for the time required to process your order and as stated by law. You may access your order under “View All Orders” within your account.

2.5 English is the language used for finalizing the contract with the Vendor.

2.6 After your order has been placed, the Vendor will process your order and send you an automatic acknowledgment of receipt. However, this does not constitute acceptance of your order by the Vendor nor does a contract between you and the Vendor will exist at that point in time. The Vendor's acceptance of your order will take place when the Vendor emails you to confirm that the order has been dispatched, at which point a contract will come into existence between you and the Vendor. The acceptance email represents an electronic purchase order receipt and contains the General Terms and Conditions of Sale, a summary of the Return Policy, and all relevant information relating to your order.

2.7 If the Vendor is unable to accept your order for any reason (including any of the reasons described in section 2.8, or if a product is out of stock), the Vendor will inform you of this.

2.8 The Vendor is entitled to cancel your order, even after accepting it, if the Vendor suspects illegal or fraudulent activity, if you have not complied with these General Terms and Conditions of Sale, or if the Vendor has identified an obvious and unmistakable error in the price or description of the product. The Vendor also reserves the right to restrict multiple quantities of an item being shipped to any one customer or postal address. In case your order is cancelled, the Vendor will notify you as soon as possible of such cancellation and require you to return the products if they have already been delivered to you.

2.9 By placing an order, you unconditionally accept and undertake to observe the provisions of these General Terms and Conditions of Sale in your contract with the Vendor. Should you not agree with certain provisions of these General Terms and Conditions of Sale, please do not complete your purchase on theoutnet.com.

2.10 By placing an order, you agree and accept these General Terms and Conditions of Sale as well as further conditions contained on theoutnet.com, including those accessed via links, and including the General Terms and Conditions of Use, Privacy Policy and the Return Policy.

3. Guarantees and product price indication

3.1 The Website exclusively sells luxury and high-end products. These products are purchased by the Vendor from fashion houses, manufacturers and dealers, carefully selected for their stringent quality control.

3.2 The Vendor does not sell second-hand products, flawed products or products of lower quality than the corresponding market standards, unless explicitly stated in the product description. The Vendor reserves the right to modify or discontinue any product offered for sale on the Website at any time without notice.

3.3 The main characteristics of the products are shown on each product page on theoutnet.com. The images and colors of the products offered for sale on the Website may not correspond exactly to the true garments due to the internet browser or monitor used.

3.4 From time to time, prices are subject to change in response to currency exchange rate changes, markdowns and other commercial factors. Please check the final price before placing your order. All prices listed on the Website are in US Dollars (USD), Great British Pounds (GBP), Euros (EUR) or other currency, depending on customer location. In the event of a recognizable error in the indication by the Vendor of the product price or calculation of the amount requested at payment, the Vendor will reject the order and contact the user to offer them the opportunity to purchase the product(s) at the correct price or to cancel the order. If we are unable to contact you, the order will be cancelled.

3.5 Depending on the location of the customer, prices may not include sales taxes, which will be added at checkout. The amount of sales tax charged on your order will depend upon various factors, including type of item purchased, sales price and destination of the shipment and applicable law. Sales tax regulations may change between the time you place an order and the time of the authorization of the credit card charge, and this may affect the calculation of sales taxes. The amount appearing on your payment page of the shopping bag may differ from the sales taxes ultimately charged as indicated in the receipt you will receive with the shipping confirmation email.

3.6 The Vendor will not accept orders from countries not listed on the Website.

3.7 All products come with The Outnet and designer tags (where applicable) attached.

3.8 All products sold by the Vendor are covered by a guarantee for lack of conformity, if such guarantee is provided by applicable consumer law based on the jurisdiction in which you are located. The Vendor is under a legal duty to supply products to you as a customer that are in conformity with the contract between you and the Vendor. Nothing in these General Terms and Conditions of Sale or the Return Policy will affect your legal rights. If you believe that the products we have supplied do not conform with the contract between you and the Vendor, please contact Customer Care. If you wish to exercise your legal rights to reject products, the Return Policy applies.

4. Payment

4.1 Payment of the price of the products, shipping and delivery costs must be made using one of the methods indicated on the payment page. Under no circumstances will you be charged more than the cost incurred by the Vendor relative to the payment method chosen by you. Payment can be made by Visa, MasterCard, American Express, and any other methods which may be clearly advertised on the Website from time to time.

4.2 If paying by credit or debit card, your credit card information, such as credit card number and expiration date, will be sent via an encrypted protocol to the banks which provide remote electronic payment services to the Vendor, without third parties having any access whatsoever. These details will not be used by the Vendor except for carrying out procedures relevant to your order, issuing refunds in the case of returns, or for reporting to the authorities any case of fraud on the Website. The purchase price of the products, delivery costs and applicable sales taxes indicated on the order summary page will be charged to your account when the Vendor is ready to ship the products.

4.3 Regardless of your shopping destination and the currency you shop in, your bank may charge you an international transaction fee. The Outnet is not responsible for any such fee or charge.

4.4 Gift Cards are no longer available to purchase. For assistance with redeeming existing gift cards, please contact Customer Care.

4.5 In case of returns compliant with our Return Policy, you can choose to receive your refund either as Store Credit to your The Outnet account, if you are a registered user, or back to the original payment method used at checkout. Your store credit refund will be visible in your account within 24 hours of issuing it and the credit will be available for you to use on your next purchase. You will be required to pay any balance with any of the payment methods available on the Website such as Visa, MasterCard, American Express, and any other methods which may be clearly advertised on the Website from time to time. Please note, Store Credit is not transferable and will be automatically reissued to your account should you request a refund for an order paid with Store Credit.

5. Promotional codes

5.1 Promotional codes allow you to take advantage of a discount on your purchase on the Website.

5.2 The promotional code box is displayed on the payment page at checkout: after you have added items to your Shopping Bag, enter your promo code and then press the “submit” button for the discount to be applied.

5.3 Promotional codes are non-transferable and there is no cash alternative. They cannot be used in conjunction with any other promotional code or offers unless otherwise stated. Please note, items marked as “Just In”, “Bestsellers”, “Sale”, or “Clearance” are excluded from the promotions unless otherwise stated.

5.4 If for any reason you wish to return an item to which you applied a promotional code, you should follow the standard return procedure, as described in the Return Policy. Once your return has been accepted, the respective code can be used again if it has not expired. The price paid after the application of the promotional code will be reimbursed, according to the time frame of the applicable refund procedure.

6. Clearance sales

6.1 Clearance sales are open to all registered customers.

6.2 Customers must be registered to participate in Clearance sales.

6.3 All items are sold on a first-come, first-served basis and must be purchased before the relevant clearance timer expires.

6.4 Depending on the location of the Customer and in accordance with local regulations, products marked as "Final Sale" might not be eligible for return. In addition to these General Terms and Conditions of Sale, all purchases will be subject to our General Terms and Conditions of Use. This includes the fact that those items marked as “Final Sale” might not be eligible for return. This does not impact on your consumer rights.

7. Shipping, delivery insurance

7.1 Once your order is shipped, we will email you a shipping confirmation with a tracking number to enable you to track your package at all times. For information about product shipping and delivery procedures, please visit our Help section. Please read it carefully, as the information provided therein is an integral part of these General Terms and Conditions of Sale and, therefore, you will be deemed to have read and accepted them when you place your order.

7.2 Delivery dates indicated at checkout or in the order confirmation email are estimated and shall not be deemed final. The Vendor will not be liable for failure to ship or deliver the products as estimated, and you will not be entitled to any refunds or cancellation of orders as a result of delayed shipment.

7.3 The Outnet insures each purchase during the time it is in transit until it is delivered to your specified delivery address. We require a signature for goods to be delivered to most of our customers (depending on shipping address and unless otherwise stated, see 7.4), at which point responsibility for your purchased goods passes to you. If you have specified a recipient who is not you for delivery purposes (for example as a gift), then you accept that evidence of a signature by the recipient (or at that delivery address) is evidence of delivery by The Outnet, and of transfer of responsibility to you. The goods are your responsibility from the time we deliver them to the address you gave us.

7.4 The Outnet can deliver to certain destinations without collecting a signature. If this option applies to you, simply update your preference at checkout before completing your purchase. In choosing not to sign, you confirm that the Vendor can leave your package(s) at the shipping address provided by you without obtaining a signature for proof of delivery. You will therefore take full responsibility for any loss or damage that may occur once your order has been delivered.

7.5 On occasion, The Outnet may refuse to deliver your order if they consider the shipping address provided to be unsafe.

10. Limitations on liability

10.1 The vendor makes no representations or warranties of any kind, express or implied, as to the products included on the website nor as to the merchandise being sold to you. To the fullest extent permissible by applicable law, the vendor disclaims all warranties, express or implied, including but not limited to implied warranties of quality, merchantability, fitness for a particular purpose and noninfringement, and there are no warranties, express or implied, which extend beyond the description of the merchandise contained on the order confirmation. The vendor will not be liable for any damages of any kind arising from the products, including but not limited to direct, indirect, incidental, punitive and consequential damages.

10.2 Nothing in the foregoing disclaimer of liability language shall serve to deny any consumer the right to bring a product liability claim pursuant to the law, in which case some or all the above disclaimers, exclusions, or limitations may not apply to you, and you might have additional rights.

10.3 Notwithstanding the foregoing, if the vendor is found liable in respect of any loss, damage or cause of action (whether contractual, extra-contractual or otherwise) arising out of or in connection with any product, the vendor’s liability shall be strictly limited to the sale price of that product.

10.4 The Vendor shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control.

10.5 Our goal is to provide complete, accurate, and up-to-date information on the Website. Unfortunately, it is not always possible to ensure that any website is completely free of human or technological errors. The Website may contain typographical mistakes, inaccuracies, or omissions, some of which may relate to pricing and availability, and product information. We reserve the right to correct any errors, inaccuracies or omissions, including after an order has been submitted and you have received the email confirming receipt of the order, and to change or update information at any time without prior notice.

12. Governing law and dispute resolution

12.1 Without prejudice to the application of mandatory consumer protection provisions, the General Terms and Conditions of Sale are governed by the laws of the State of New York.

12.2 In the event of a dispute between the Vendor and you arising from the General Terms and Conditions of Sale (including the Return Policy), you and the Vendor both agree that the courts of the State of New York will have exclusive jurisdiction.

12.3 Please note that the European Commission also provides a platform for alternative out-of-court resolution of disputes, available on the website http://ec.europa.eu/odr .

13. Amendments and updates

The Vendor may amend or update all or any part of the Website policies including these General Terms and Conditions of Sale at any time in its sole discretion. Any amendments or updates to the General Terms and Conditions of Sale shall be effective upon publication in their respective sections of the Website. Please access the General Terms and Conditions of Sale on the Website regularly to check whether the General Terms and Conditions of Sale have been updated. If any provision of any part of these General Terms and Conditions of Sale shall be deemed invalid, void or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining General Terms and Conditions of Sale.

THE OUTNET REWARDS

Become part of the OUTNET REWARDS program subject to these Terms and Conditions (‘T&Cs’). By participating in the OUTNET REWARDS program, you agree to be bound by these T&Cs. The OUTNET REWARDS program (“OUTNET REWARDS”) is operated by The Outnet Ventures LLC and its affiliates.

1. Becoming part of OUTNET REWARDS

To qualify for, and to participate in, OUTNET REWARDS you must have a registered account on The Outnet. If you qualify for participation in the OUTNET REWARDS you will be automatically enrolled in the program after you have spent €2,000.00 EUR (or equivalent amount depending on the currency you are shopping in), during a calendar year subject to these T&Cs, excluding cancelled orders, returns, delivery fees, taxes or duties (‘Rewards Value’).

Make sure you're subscribed to our push and email notifications, so we can send you updates about your membership, rewards, latest trends and upcoming promotions. You can check and update your communication preferences in your account or unsubscribe from marketing emails at any time by clicking on the unsubscribe link provided in the email footer. We will send you a service email when we upgrade you to a new tier as further specified below and, if you no longer wish to be part of the OUTNET REWARDS program, please contact our Customer Care team.

If you close your account, all of your Rewards Value will be removed from your account, and you will lose your tier status. If you later create a new account, your OUTNET REWARDS participation will reset from the date on which you make a new account, as if you are a new participant. You will not be able to reinstate your previous Rewards Value on this new account. If you have multiple The Outnet accounts, these will not be merged, and you will appear as a separate customer for each account, and each account could be attributed to a different tier level as applicable.

Staff and contractors of The Outnet and its affiliates are not eligible to participate in the OUTNET REWARDS program.

2. Eligible Purchases

Your Rewards Value is acquired by making purchases on The Outnet while logged into your account. Your Rewards Value will be calculated based on the monetary amount that is paid by you for an order. An eligible purchase for the purposes of the OUTNET REWARDS ('Eligible Purchase’) does not include any value attributed to a purchase (or part of a purchase) made using gift vouchers, store credit, promo codes, delivery costs or any other The Outnet promotional discount. We have sole discretion over determining which purchases are Eligible Purchases for the purposes of the OUTNET REWARDS. Rewards Value can only be earned on Eligible Purchases which are not returned or cancelled. Rewards Value acquired will be applied to your account monthly, however please note that for each order we will need to wait until their returns window has expired to add the relevant value to your account. The returns window is indicated in The Outnet’s website terms and conditions. We may amend such period at our sole discretion at any time without notice. Any amendment will be binding upon publication on The Outnet’s website. Make sure you regularly check the most recent version of our website terms and conditions and these T&Cs for the latest updates. All purchases made on The Outnet must be for personal and not commercial use.

3. Tiers

These T&Cs govern your participation in the OUTNET REWARDS once you have spent €2,000.00 EUR (or equivalent amount depending on the currency you are shopping in), as applicable during a calendar year, thereby reaching the “VIP” tier.

If you spend at least €4,000.00 EUR (or equivalent amount depending on the currency you are shopping in) during a calendar year, you will be upgraded to our “PLATINUM VIP” tier. In that case, we will reach out to provide you with full details about your additional rewards and any conditions attached to redeeming these.

Whilst your Rewards Value is updated on a monthly basis on your account, we will assess it every quarter during each calendar year to check whether you are entitled to qualify for the VIP tier or for a promotion to the PLATINUM VIP tier. Once you have reached either tier in a given year, you will retain the reward benefits associated with that tier at least until the end of that calendar year unless, if in the VIP tier, you are further moved up to the PLATINUM VIP tier.

At the end of each calendar year we will assess your tier based on your total spend value of the calendar year. If your spend value meets the threshold of the tier you are currently in, we will confirm you in the same tier for the whole new calendar year (unless, if in the VIP tier, you are moved up to PLATINUM VIP through the year). If your spend value no longer meets the threshold of the tier you are in, we will move you down, or demote you from OUTNET REWARDS, as applicable.

4. General Rewards Information

You should ensure that the contact information on your The Outnet account is accurate and up to date. We will not be responsible for any Rewards Value which is not applied to your account as a result of inaccurate details provided by you.

All orders placed on The Outnet will be subject to The Outnet’s General Terms and Conditions of Sale.

The Outnet Rewards Value is non-transferable, non-exchangeable and no cash alternative is available.

You understand and agree that we may use data from your The Outnet account, for the purposes of analysis and so that specific recommendations and offers may be made to you. For more information on how The Outnet uses your personal data and what your rights are under data protection law, please refer to our Privacy Policy.

We may review and amend the benefits and tier thresholds at our sole discretion at any time.

We reserve the right to refuse, close or merge additional The Outnet accounts at any time.

In the event of a dispute regarding the OUTNET REWARDS program or these T&Cs, the decision of The Outnet is final and no correspondence or discussion shall be entered into.

We may cancel, withdraw or alter these T&Cs and the OUTNET REWARDS program or benefits at any time without notice. We will communicate material changes to you.

We reserve the right to close your account or remove you from OUTNET REWARDS at any time if we reasonably believe you have been acting fraudulently or in breach of these T&Cs.

Terms and Conditions

These terms and conditions (the “Rules”) apply to The Outnet #FoundOnTheOutnet Monthly Wishlist prize draw (the “Prize Draw”). By entering, you agree to be bound by these Rules.

1. General Information

1.1 The promoter of the Prize Draw is The Outnet Ventures LLC (599 Broadway, 3rd Floor, 10012 New York – NY) and its subsidiaries, collectively referred as the “Vendor”.

1.2 The Prize Draw is not sponsored, endorsed, administered by, or associated with Instagram or TikTok.

2. Eligibility

2.1 In order to be eligible to participate in the Prize Draw, participants must: (a) have an existing account on theoutnet.com (the “Site”) or set one up during the Entry Period, (as defined below) (your “Account”) (b) not be a member of staff, a contractor or an employee of the Promoter or its affiliates; (c) not already be a Winner (as defined below); and (d) be a resident of the UK or the USA and aged 18 years or over. All participants satisfying these conditions shall be referred to as “Eligible Entrants”. The Promoter reserves the right to refuse entry, or to refuse to award the Prize (as defined below), to anyone in breach of these Rules.

2.2 Entry is free and no purchase is necessary to enter the Prize Draw.

2.3 The list of applicable countries for this promotion is subject to change at The Outnet’s discretion. Based on your location, exclusions to the terms of this promotion may apply.

3. Prize Draw Period

3.1 The Prize Draw is a recurring monthly prize draw.

3.2 Each Prize Draw cycle begins at 00:00 GMT on the 1st day of each calendar month and ends at 23:59 GMT on the last calendar day of the same month.

3.3 Entries submitted outside of this period will not be considered for that month’s prize draw but may be eligible for future months if resubmitted.

4. How to Enter

4.1 To enter the Prize Draw, Eligible Entrants must:

a. Like the Prize Draw post on the Promoter’s Instagram account @theoutnet.

b. Comment on an item from their The Outnet wishlist on the Prize Draw post.

c. Have a live Instagram account and be following @theoutnet on Instagram at the time of entry and Prize Draw.

4.2 Multiple entries are permitted, provided each entry features a unique wishlist item and meets all entry criteria.

5. Prize

5.1 Each month, one (1) winner will be selected at random from all eligible entries received during that month.

5.2 The winner will receive a store credit to the value of $500 (five hundred Dollars) for use on The Outnet (the “Prize”).

5.3 The Prize will be converted into the local currency equivalent at the prevailing exchange rate at the time of issue.

5.4 The Prize is non-transferable, non-exchangeable, and no cash alternative will be offered. Exclusions may apply, and the store credit is subject to The Outnet’s store credit terms of use.

5.5 The Prize must be delivered to an address in the UK or the USA and the cost of delivery will be borne by the Promoter and/or its affiliates.

5.6 The Prize is provided by the Promoter or its regional affiliates as appropriate.

5.7 The Prize is personal to its winner and is for private, not commercial, use.

6. Winner Notification and Prize Fulfilment

6.1 The winner will be contacted via direct message on Instagram within seven (7) days of the end of each Prize Draw period.

6.2 The winner must respond to the notification within five (5) days to claim the Prize. Failure to do so may result in the selection of an alternative winner.

6.3 The Promoter reserves the right to verify the identity and eligibility of the winner.

7. General

7.1The Promoter does not accept any responsibility for any damage, loss, injury or disappointment suffered howsoever arising from the Prize Draw or the Prize, whether due to any errors or omissions or other cause by the Promoter, its employees, agents or others to the fullest extent permitted by law. Nothing shall exclude the Promoter’s liability for death or personal injury as a result of its negligence.

7.2 The Promoter accepts no responsibility for entries not received due to technical or other issues.

7.3 Each winner may be asked to participate in publicity related to the Prize Draw, and consent to be identified as a winner if required.

7.4 Any personal information provided to the Promoter by a winner may be held and used only by the Promoter for the purposes of administering the Prize Draw and fulfilling and delivering the Prize to each winner. 7.5 The Promoter reserves the right to hold void, cancel, suspend, or amend the Prize or Prize Draw without prior notice.

7.6 In the event of any dispute regarding these Rules and all other matters relating to the Prize Draw, the Promoter’s decision shall be final, and no correspondence or discussion shall be entered into.

7.7 The Prize Draw and these Rules are governed by the laws of the State of New York. Any disputes will be subject to the exclusive jurisdiction of the courts of the State of New York.
